These Terms and Conditions (“Terms”) govern your use of the services provided by Digiphins Innovation Private Limited (“Digiphins,” “we,” or “us”). By availing our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our services.
Digiphins provides specialised services in ICT, Software Solutions, Graphic Designing, Branding, and Digital Marketing. The specific details, scope, and deliverables of the services will be agreed upon in a separate agreement or proposal between Digiphins and the client.
The fees for our services will be mutually agreed upon and specified in the relevant agreement or proposal. Payment terms and methods will also be outlined in the agreement. Failure to make timely payments may result in the suspension or termination of services as per the agreed terms.
Any intellectual property rights associated with the services, including software, designs, branding assets, and marketing materials, remain the property of Digiphins or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use such intellectual property solely for the purpose of receiving the services.
As a client, you agree to provide accurate and complete information required for the delivery of services. You also acknowledge that timely feedback, approvals, and cooperation from your end are essential for the successful completion of the project.
Both parties agree to keep confidential any non-public information received from the other party during the course of the services. This obligation of confidentiality does not apply to information that is publicly available or becomes known through other legitimate sources.
Digiphins shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use our services, including but not limited to ICT, Software Solutions, Graphic Designing, Branding, and Digital Marketing. Our liability, if any, shall be limited to the amount you paid for the services.
Either party may terminate the services upon written notice if the other party materially breaches these Terms. Upon termination, you shall pay for all services provided up to the date of termination, and any unpaid fees or expenses as per the agreed terms.
